PLEASE READ THESE RULES CAREFULLY PRIOR TO PARTICIPATION. NO PURCHASE IS NECESSARY TO REGISTER, ENTER, OR WIN. OPEN ONLY TO INDIVIDUALS AGE 18 OR OLDER WHO ARE LEGAL RESIDENTS OF THE UNITED STATES. A PURCHASE WILL NOTINCREASE YOUR CHANCE OF WINNING. VOID WHERE PROHIBITED BY LAW. These Official Rules (the“Official Rules”) govern the LULUS 30TH BIRTHDAY CELEBRATION instant win promotion (the “Promotion”).

1. Sponsor  

The Promotion is sponsored by Lulu’s Fashion Lounge, LLC, with a principal place ofbusiness at 495 Ryan Avenue, Suite 125, Chico, CA 95973 (“Lulus” or “Sponsor”). By participating in the Promotion, you agree to the terms and conditions of the Lulus.com website, which are available at https://www.lulus.com/customerservice/termsofuse, incorporated herein by reference, and that your participation will be governed by, and you shall abide by, all of the following rules (the “Rules”) outlined herein.

2. Promotion Period

The Promotion will take place on July 18, 2026 during the Lulus 30th birthday celebration event at two Fellini Coffee locations in New York (the “Promotion Event”) from 9:00am to 1:00pm Eastern Time (the “Promotion Period”). Sponsor’s clock is the official timekeeping device for the Promotion.

3. How to Enter (Actions 1-3 together, an “Entry”): 

The Promotion is open only to legal residents of the fifty (50) United States and the District of Columbia who are 18 years of age or older at the time of participation. The following individuals are not eligible to enter or win the Promotion: current or former (within the immediately preceding 12 months) employees, officers, directors, and contractors of Lulus, and anyone involved in the administration of the Promotion, and any member of the immediate family (i.e., a parent, sibling, child or grandchild) or household of any of the foregoing individuals. The Promotion is subject to all applicable federal, state, and local laws and regulations and is void where prohibited.

4. How to Play / Obtain a Game Piece  

During the Promotion Period, eligible individuals may obtain an official Promotion scratcher card (each, a “Game Piece”) to be distributed to the first 200 individuals who attend the Promotion Event at each of the following Fellini Coffee locations: (i) Fellini Coffee SOHO, 120 Thompson St., New York, NY 10012; and (ii) Fellini Coffee Chelsea, 231 8th Ave., New York, NY 10011. 

No purchase is necessary to obtain a Game Piece.

Limit: one (1) Game Piece per person. Sponsor may require reasonable proof of eligibility and compliance with these Official Rules.

5. How to Determine an Instant Win 

To play, scratch the designated scratch-off area(s) on the Game Piece to reveal whether you have won a prize.

A Game Piece is a winner only if it: (a) is an authorized, original Game Piece distributed by Sponsor; (b) displays a winning message/symbol as described on the Game Piece; and (c) is validated by Sponsor (or Sponsor’s designee) in accordance with these Official Rules.

All potential winners are subject to verification before any prize is awarded.

6. Prizes; Approximate Retail Values 

Prizes available in the Promotion (each, a “Prize”) are as follows:

Total ARV of all Prizes: less than $5,000.

Prizes are non-transferable and may not be substituted or redeemed for cash, except inSponsor’s sole discretion. Sponsor reserves the right to substitute a Prize of equal or greater value if a Prize (or any portion thereof) becomes unavailable for any reason.

All federal, state, and local taxes and any other costs and expenses associated with Prize receipt and use are the sole responsibility of the winner.

7. Odds of Winning

Odds of winning depend on the number of authorized Game Pieces distributed and the number and type of winning Game Pieces available. Winning Game Pieces are pre-determined and distributed among the Game Pieces as part of the Promotion’s design. 

Based on the Prize pool described in Section 6 above, the total number of winning GamePieces is four hundred (400), comprised of: one (1) Grand Prize winning Game Piece andthree hundred ninety-nine (399) Additional Prize winning Game Pieces. Accordingly, the overall odds of winning any Prize are 400 divided by the total number of authorized, eligibleGame Pieces distributed during the Promotion Period.

8. Prize Claim / Verification / Awarding

Claim Instructions. To claim a Prize, follow the instructions printed on the winning Game Piece and/or provided by Sponsor (the “Claim Instructions”). Sponsor may require a potential winner to provide: (a) name and contact information; (b) proof of age and residency; and/or (c) a signed affidavit or declaration of eligibility. Sponsor will require the potential Grand Prize winner to provide: (a) name and contact information; (b) proof of age and residency; (c) a signed affidavit or declaration of eligibility and release; and (d) a W-9. All information and/or documents required by Sponsor in this paragraph are collectively referred to as “Verification Documents”.

Claim Deadline. All Prize claims must be received by Sponsor (or Sponsor’s designee) during the Promotion Period.

Failure to Comply. If a potential winner: (i) fails to timely submit any required Verification Documents; (ii) cannot be contacted; (iii) is found to be ineligible; (iv) fails to comply with these Official Rules; or (v) if the winning Game Piece is void or invalid, then the potential winner will be disqualified and the Prize may not be awarded (or may be awarded to an alternate winner only if Sponsor, in its sole discretion, elects to do so).

No More Than Stated Prizes. No more than the stated number of Prizes will be awarded.

9. Game Piece Conditions; Fraud; Invalid Game Pieces

Game Pieces are void if: (a) not obtained through authorized channels; (b) reproduced, forged, counterfeit, altered, mutilated, or tampered with; (c) they contain printing, typographical, mechanical, or other errors; (d) stolen, lost, late, damaged, illegible, or incomplete; or (e) otherwise invalid, as determined by Sponsor in its sole discretion.

Sponsor is not responsible for (i) any lost, stolen, damaged, late, misdirected, or illegible Game Pieces; (ii) any technical failures; or (iii) any unauthorized access to or alteration of the Promotion.

Any attempt to defraud or tamper with the Promotion or these Official Rules may result in disqualification and may be a violation of criminal and civil law. Sponsor reserves the right to take action to the fullest extent permitted by law.

10. Additional Grand Prize Terms 

The following terms apply to the Grand Prize of the Promotion (the “Concert”):

1. Additional Terms Apply. Concert invitations are subject to the terms and conditions of the issuer and venue, including any health and safety policies and admission requirements.
2. No Travel Included. Unless expressly stated by Sponsor in writing, travel, lodging, transportation, parking, meals, and incidentals are not included and are solely thewinner’s responsibility.
3. Concert Attendance. The winner and winner’s guest must be available on July 19, 2026 to attend the Concert at Barclays Center in Brooklyn, NY. Winner is solely responsible for all expenses not specified herein, including but not limited to transportation to and from Barclays Center, hotel accommodations, meals, beverages, tips, taxi fare, and taxes. If the winner cannot attend the Concert on July 19, 2026, the Prize will be forfeited and the winner may receive an alternative prize of one (1) Lulus outfit, not to exceed $100 in the aggregate.
4. Scheduling; Cancellation. Concert date/time are subject to change. If the Concert is cancelled, postponed, rescheduled, or otherwise unavailable, Sponsor may, in its sole discretion, award a substitute prize of equal or greater value or not award the Prize.
5. No Resale or Transfer. Concert invitations are awarded only to the verified winner and the winner’s designated guest, and may not be transferred, assigned, sold, bartered, substituted, or otherwise conveyed to any other person. If Sponsor reasonably determines that invitations have been resold or offered for resale, Sponsor may disqualify the winner and void the Prize.
6. Alternate Grand Prize Winner. If the potential Grand Prize winner is determined to be ineligible, cannot be contacted, fails to timely complete and return any required Verification Documents, declines the Grand Prize, is unable to attend the Concert on the date specified, fails to comply with these Official Rules, or is otherwise disqualified for any reason, such potential Grand Prize winner will forfeit the Grand Prize. Sponsor may, in its sole discretion and time permitting, attempt to award the Grand Prize to an alternate eligible winner by announcing a designated location through Sponsor’s official social media channel(s). The first person to arrive at the announced location, identify themselves to Sponsor or Sponsor’s designee as responding to the alternate-winner announcement, and satisfy all eligibility, verification, and compliance requirements under these Official Rules will be deemed the potential alternate Grand Prize winner. If Sponsor is unable to identify and verify an alternate winner before the Concert, the Grand Prize may not be awarded.

11. Grant of Rights 

Except where prohibited by law, acceptance of a Prize constitutes winner’s consent for Sponsor and its designees the irrevocable, royalty-free right to publish, disseminate, and use the winner’s name, likeness, biographical information and city and state of residence without further notice, permission, or consideration, in perpetuity, throughout the world, in all media and formats now known or hereafter invented, in connection with the execution and promotion of the Promotion, and will confirm consent to such use in writing upon request.

12. Privacy

Sponsor will collect and use personal information in connection with administering the Promotion (including verifying eligibility, contacting winners, and fulfilling Prizes) in accordance with Sponsor’s Privacy Policy located at: https://www.lulus.com/customerservice/privacypolicy. By participating, you consent to Sponsor’s collection and use of your personal information as described in these Official Rules and the Privacy Policy.

13. General Conditions; Right to Modify / Suspend / Terminate 

Sponsor reserves the right to cancel, suspend, and/or modify the Promotion (or any part of it) if any fraud, technical failure, human error, or any other factor impairs the integrity or proper functioning of the Promotion, as determined by Sponsor in its sole discretion. If the Promotion is terminated early, Sponsor may, in its sole discretion, award Prizes based on eligible claims received prior to termination and consistent with the pre-determined distribution of winning Game Pieces. 

Sponsor’s decisions are final and binding in all matters relating to the Promotion, including interpretation and application of these Official Rules.

14. Release; Limitation of Liability 

To the maximum extent permitted by law, by participating in the Promotion and/or accepting any Prize, each entrant/winner agrees to release and hold harmless Sponsor, its parent companies, affiliates, subsidiaries, and each of their respective officers, directors, employees, and agents (collectively, the “Released Parties”) from and against any claim or cause of action arising out of participation in the Promotion or receipt or use/misuse of any Prize, including but not limited to: (a) unauthorized human intervention in the Promotion; (b) technical errors related to Game Piece printing or validation; (c) any printing, typographical, administrative, or other errors; and (d) injury or damage to persons or property.

Some jurisdictions do not allow the limitations or exclusion of liability for incidental or consequential damages, so the above may not apply to you.

15. Disputes; Governing Law; Venue

THE PROMOTION IS GOVERNED BY THE LAWS OF THE UNITED STATES OF AMERICA AND THE STATE OF CALIFORNIA, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. This Promotion is subject to Lulus’ Terms of Service. By participating in the Promotion, each entrant/winner and Released Parties agree that all disputes between such entrant/winner and Released Parties shall be resolved exclusively by individual, binding arbitration instead of jury trials or class actions, as provided in the Terms of Service. PLEASE READ THE TERMS OF SERVICE CAREFULLY: MANDATORY ARBITRATION MEANS THAT EACH ENTRANT/WINNER AND RELEASED PARTIES ARE EACH WAIVING THE RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN ANY CLASS OR COLLECTIVE ACTION.

By participating in the Promotion, each entrant/winner irrevocably waives, to the greatest extent allowed by law, any right to seek and/or obtain rescission and/or equitable and/or injunctive relief. Further, in any such dispute, under no circumstances will an entrant/winner be permitted to obtain awards for, and hereby waives all rights to claim, punitive, incidental, or consequential damages, including reasonable attorneys’ fees, other than the entrant/winner actual out-of-pocket expenses (i.e. costs associated with entering the Promotion), and entrant/winner further waives all rights to have damages multiplied or increased.

NOTWITHSTANDING ANYTHING TO THE CONTRARY, IN NO EVENT WILL RELEASED PARTIES BE LIABLE TO ANY ENTRANT/WINNER OR ANY THIRD PARTY FOR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, LOSS OF REVENUES, LOST PROFITS, LOST CAPITAL OR OVERHEAD, WHETHER BASED ON BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, WHETHER OR NOT SPONSOR PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

16. Winners List

Where required by applicable law, Sponsor will make available, upon request, a winners list containing each winner’s first name, last initial, and state of residence. To request the winners list, send a written request with a self-addressed, stamped envelope to: Lulu’s Fashion Lounge, LLC, 810 East Pico Boulevard, Suite 401, Los Angeles, CA 20021, Attn: 30th Birthday Celebration Winners List Request. Requests must be received no later than September 16, 2026.

17. Severability

If any provision of these Official Rules is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
